RECITALS: The internet is an open and informal web of worldwide interconnected computer networks which uses TCP/IP protocol. There is no single entity which is responsible for its management. Your intention is to own an internet address, and we have the technical skills and resources to register and host domain names. IT IS HEREBY AGREED AS FOLLOWS:
ARTICLE 1 - SCOPE
Our services are bound by these General Conditions, which take precedence over any alternative provision cited by You. The purpose of these General Conditions is also to inform You of the conditions governing our domain name registration and management services. By simply clicking on the icon which provides you with the details of these General Conditions, You are indicating your irrevocable and final agreement with all of the provisions of these Conditions. Any order placed by You automatically implies your unrestricted and unconditional acceptance of these General Conditions. By clicking on the ’Accept’ button on the order screen, You acknowledge that You are fully aware of all of the General Conditions and that You thereby waive any entitlement to cite any alternative document (particularly Your own General Conditions). This confirmation, together with all of the data recorded by Us, shall serve as proof of the transaction. We may amend these General Conditions at any time, provided that We publish any such amendments on our website. Each of the clauses in this contract is independent. Therefore the invalidity of a particular clause shall have no effect on the other clauses.
The internet: A network of numerous interconnected servers situated in various geographical locations across the globe. Website: A website is a set of pages (and where relevant the software programs which generate these pages) which are hosted on the same server and which constitute a service provided to users. Login: A term which refers generally to any secret code or password which enables the Client to authenticate and connect to our services. Contract: This agreement Registration data: The information entered on the order screen. The Client/You: The individual or legal entity that has signed these General Conditions of Sale. The purpose of this contract is to define the conditions under which We propose to register, host and manage domain names on your behalf, and the conditions under which You shall pay for these services. Mailclub shall act as an intermediary vis-à-vis the relevant bodies for the registration of domain names. Some official registries require owners of domain names using their extension to specifically accept their contractual clauses (’Specific Clauses’). Information on extensions and links to the Specific Clauses can be found at: http://www.Mailclub.fr/cgv. When placing an order, the Client acknowledges having consulted this page together with the Specific Clauses for the relevant domain name extensions, and confirms its acceptance of all of the above. Each registry also has its own naming charter. The Client is automatically subject to the relevant charter when registering a domain name which uses a particular registry’s extension, regardless of whether or not it is specifically asked to accept the charter. We offer domain name registration and hosting services. The following features are included in these services:
4.1 Checking the availability of and registering domain names: We provide a search tool which enables You to check the availability of the domain name that You wish to register. Searches can be carried out at any particular time, and do not take into account any registration requests which have not yet been processed by the relevant bodies. If the Whois shows that the domain is available, we shall give you the option to register it directly and automatically, without our intervention. The following domain extensions can be registered: Asia, be, biz, bz, cc, com, com.co, eu, es, fr, gs, in, info, it, lu, me, mobi, mn, ms, net, org, pl, pro, se, tc, tel, tv, tw, uk, vg. We are able to register other domain extensions on a manual basis. We shall endeavour to guarantee the availability, continuity and quality of our services, and we are bound by a best endeavours obligation in this respect. We shall ensure that our server centre is available 24/7. However, we reserve the right in exceptional circumstances to briefly suspend access to our servers for any maintenance or improvement work which is required to ensure the proper functioning of our services. Consequently We shall not be held liable for the relevant body’s rejection of any domain name registration, even if the search tool has been used. We provide all technical services on your behalf, and we manage the payment of registration fees to all public and private French and overseas bodies which are authorised to issue domain names. We shall endeavour to register the domain name ordered by You with the relevant bodies. You may register generic extensions such as .com, .net, .org etc., and also country code extensions (.fr, .it etc.). You expressly authorise Us to use any third party of our choice to carry out all or part of our role, provided that we remain responsible and accountable for our obligations towards You.
4.2 Administration and management of domain names:
We carry out meticulous checks of costs and due dates in regard to regular payments (such as domain fees) in order to prevent NIC penalties being imposed for the non-payment of fees (i.e. disabling of unpaid domains or even deleting the domain so that it is available for re-registration). We therefore undertake to contact You so that You can pay to renew your subscriptions. In the event that you wish to transfer your domain, your new service provider or hosting company is responsible for carrying out the transfer process and for paying fees to the registration authorities (NIC or registrar) where required.
4.3 Geographical area covered by our services: Our services are available worldwide.
4.4 Usage rules and guidelines and Client obligations: Strict rules are applied to the selection and registration of domain names. You are responsible for ensuring that Your order complies with the naming charter for the requested domain name. All registration requests are subject to prior and unconditional acceptance of the administrative and technical naming rules governing the relevant registration level. You shall assume sole liability for any infringements to third party intellectual property rights that may arise from the registration of a domain name using our services, and more specifically for infringements to any pre-existing distinctive sign including brands, trade names, company names, personality rights, brand names etc. You shall also be liable for any infringement of copyright and similar rights, and more generally of individual and product rights. It is therefore Your responsibility to carry out any due diligence on distinctive signs, and more generally to ensure that the domain name does not infringe upon these rights. You undertake to comply with all of the relevant legislation when selecting and registering a domain name. Moreover, You undertake not to use our services to register any domain name which:
Is against public policy or public decency, Is abusive, defamatory, racist, xenophobic, revisionist or which is prejudicial to a third party’s character or reputation, Incites hatred or discrimination against a person or a group of people due to their sex, ethnic origin, nationality race or religion, Is threatening towards a particular person or a group of people, Contains words of a paedophilic nature, Incites offences, violent acts, crimes or terrorist acts, or justifies war crimes or crimes against humanity, Incites suicide, Enables third parties to directly or indirectly obtain bootleg software, software serial numbers, software which enables piracy or the ability to hack into IT or telecommunications systems, viruses and other logic bombs, or generally any software tool or other type of tool which infringes upon the rights of others or the safety or people or property, Breaches the privacy of correspondence. You consent to the registration of your domain name by anyone acting as an agent, and to Us acting as the technical contact and invoicing contact for the domain name. You shall be specified as the administrative contact where possible.
You must provide any personal details which are required for the registration of the domain with the relevant authorities (i.e. your name, address, telephone number, e-mail address and details required for invoicing). You attest to the comprehensive and accurate nature of such information. You agree to inform us in writing of any change to your personal circumstances (particularly any change of address, change of bank address etc.). The Client agrees to inform Mailclub by certified document of any change to its personal circumstances (particularly any change of address or e-mail address, change of bank address etc.). Above all, Mailclub should be immediately informed of any change of address. The Client must ensure that it can always be contacted by e-mail and post. Should the Client fail to inform Mailclub of any new contact details (particularly e-mail addresses), it shall be solely liable for any errors in the domain subscription or renewal process. Mailclub shall in no case be held liable for any non-renewal and/or loss of a Client’s domain name if the Client could have been informed of the subscription expiry by the automatic reminder systems used by Mailclub (e-mail and post). The Client agrees to comply with the French Act on Confidence in the Digital Economy (Loi sur la Confiance en l’Economie Numérique), particularly by refraining from sending Spam e-mails. If the event that the Client sends out Spam and this results in several Mailclub network IP addresses or Mailclub-managed domains being ’blacklisted’, following a complaint, and where the normal running of Mailclub and/or its other Clients has been affected, the Client shall be charged a flat fee of 200 Euros excl. tax per complaint received. Mailclub may also suspend/delete all services provided to any Client at the centre of any such complaints without notice or compensation. The offer acceptance deadline is calculated from the date on which the service is put online.
4.5 Delegation of management services: The Client grants Mailclub full powers to carry out the administrative and technical management of its domain names. The Client therefore authorises Mailclub to carry out any required actions in order to optimise the management of such domain names, including changing the local service provider or ’ICANN accredited registrar’, and changing the details of the domains’ administrative, technical or invoicing contacts (but not the domain owner).
4.6 Address forwarding: Mailclub offers packages which include forwarding services for e-mail addresses and URLs/websites. Please visit www.Mailclub.fr for further details. The maximum e-mail size limit using our forwarding packages for e-mails passing through Mailclub’s servers is 10Mb.
4.7 Changing data in the Whois database: Mailclub provides changes to Whois data free of charge (administrative contact, technical contact etc.) for the com/net/org/info/biz extensions, as well as for .fr extensions for the whole of the .fr region. Mailclub may have to charge the Client for changes to any other extension, according to the complexity and the technical and/or administrative work required. Where required, Mailclub undertakes to inform the Client in advance of any charges, and no changes shall be made until the Client has signed the relevant price quotation.
4.8 Antivirus options: Mailclub offers antivirus options which are provided by publishers of antivirus solutions. These publishers keep Mailclub informed of any new virus signatures. Mailclub shall endeavour to ensure that the Client does not receive any e-mail containing a virus. This is a best endeavours guarantee rather than a performance guarantee. The Client shall therefore not be entitled to any compensation should a virus cross Mailclub’s filters and infect or destroy files located on the Client’s workstations.
4.9 Domain name transfer: All Mailclub packages require the domain name(s) in question to be managed by Mailclub (technical delegation of the domain). If a domain is not renewed, or in the case of a transfer request to a provider other than Mailclub, the technical services linked to the domain will be cancelled, and the domain will be removed from Mailclub’s DNS servers. In both cases, Mailclub shall delete all Client information from its servers. Once the domain has been fully transferred to another provider (change of technical delegation), the Client will be unable to recover such information. In this case, Mailclub cannot be held liable for the loss of deleted information. The Client should therefore back up its information BEFORE changing the technical delegation on any domain. If the Client asks to transfer the management of a domain name which is held by Mailclub, it must provide Mailclub with a copy of the full zone file as configured at the current domain provider. Mailclub cannot be held liable for any interruption to services if the zone file contains errors. 4.10 ’Under construction’ Parking page: If the Client is not using the domain for hosting web pages or for URL forwarding, Mailclub offers three solutions that can be activated by the Client in its secure management area: No visible page, An ’under construction’ page which does not state that the domain is registered through Mailclub, Or, An ’under construction’ page stating that the domain is registered through Mailclub. The final solution is the default page; it is the Client’s responsibility to change this setting if required. Given that the default setting can be changed, the Client is not entitled to seek any compensation if Mailclub’s name and logo appears when the Client’s domain name is entered in a web browser.
ARTICLE 5 - SERVICE PRICING
Prices are shown in Euros and are based on the prices which are in effect when the order is placed, subject to potential typing errors or changes in VAT rates. The prices displayed on our website exclude the French VAT rate of 19.6%. If your order originates from a country other than mainland France, You are deemed to be importing the service(s) in question. Pricing for all services ordered outside the European Union and the French overseas regions and territories will automatically be exclusive of tax. Import duty or state taxes may be payable for the country in question. We are not responsible for any such duty or taxes: You shall be fully liable both for declaring such duties/taxes, and for paying them to the relevant authorities and/or bodies in your country. You are advised to check details of taxes with your local authorities. In the event of any discrepancy between the price that You are quoted on order and the effective price due to a typing, printing or calculation error on our website, the effective price shall be applied. All orders should be paid in Euros, regardless of their source. External events may cause our service prices to change at any time. Any changes will be posted on our website, and we will inform You of them before You place any further orders. Our charges for the services set out above (with the exclusion of any other services) are listed on the pricing section of our website at www.Mailclub.fr. Mailclub reserves the right to adjust its pricing for subscription renewals, in accordance with any pricing amendments applied by registration bodies, fluctuations in exchange rates or additional taxes charged, or any change in Mailclub’s pricing policy. The Client may inform Mailclub at any time that it does not intend to renew its subscription. The Mailclub website shows the pricing in effect at any particular time; the Client is solely responsible for remaining informed of such pricing. We will not directly inform the Client of price changes.
Any orders placed via our website become final as soon as they are accepted. Orders can be placed 24/7 from any personal computer on our website www.Mailclub.fr. As soon as You have checked the box to accept our General Conditions and You have clicked on the ’click here’ acceptance button at the end of the order process, You will be deemed to have declared your full and unconditional acceptance of all of these General Conditions. When placing your order, the information that You provide to Us is final, and we cannot be held liable for any error in the wording of the order or in the recipient’s contact details. E-mail confirmation: We will send You an e-mail confirmation of your order. We advise You to store an electronic or paper copy of this information. Mailclub is automatically released from any liability in the event of non-payment of an order or of a subscription renewal. Mailclub should in no case be held liable for any loss of documents sent to registration bodies. The Client should only send certified copies or documents that can be easily replaced.
Unless otherwise specified on the order form, the amount due is payable as soon as the order is placed, and the contract shall be deemed to be effective from the first payment. Where there is no specific pricing agreement, the effective prices are those that are displayed in the pricing section of our website. You may pay your subscription by payment card (online, phone or fax), by Euro cheque issued by a French bank, by direct debit or by bank transfer. We reserve the right to immediately pass on any new taxes or higher rates on existing taxes to our Clients. You agree to pay all monthly instalments before the beginning of each period in accordance with the terms set out in the contract. All payments must be made exclusively in Euros. If You do not pay Your subscription charges by the deadline stated on the invoice issued by Mailclub, We may automatically terminate the contract, which may also cause the domain to be deleted by the country NIC without notice, and without prejudice to any potential damages claims. Specific terms for .fr domains: Afnic may carry out checks on .fr domains at any time, even when the domain is already registered. If such checks reveal that the number provided for the domain registration (Siret company registration number, Insee Login or any other compulsory number provided by the Client when placing the order) does not match the domain applicant/owner, Afnic shall delete the domain in question, and the Client shall not be entitled to claim any compensation either from Afnic or from Mailclub.
All services are issued online.
This service contract takes effect on the order confirmation date. Mailclub will renew domains on receipt of the Client’s renewal request confirmation. Mailclub will send You an e-mail to advise You of Your forthcoming renewal date, together with several reminder e-mails and a postal invoice. The Client is solely responsible for renewing its subscription and therefore for retaining the domain name. Mailclub will only renew the domain name if the Client makes payment within the deadline shown on the invoice: all of Mailclub’s invoices indicate the final payment date. Should the payment be received after the deadline has elapsed, and if it is still possible to renew the domain name with the relevant authorities, Mailclub shall charge a processing fee of €55 exclusive of tax, in addition to any reactivation fees charged by the registry or partner in question. If Mailclub does not receive any renewal confirmation or payment, the domain name will not be renewed, and the Client will not be entitled to claim any compensation (even if the domain has subsequently been registered by a third party). Mailclub shall not be held liable if the Client has failed to renew its domain due to incorrect or invalid contact details or details which it no longer uses, resulting in the Client not having received our reminders and our invoice. The Client is solely responsible for informing Mailclub that it wishes to renew its subscription, and for ensuring that all contact details provided to Mailclub are up to date. This contract shall automatically expire as soon as the Client no longer has any domains under Mailclub’s management, subject to all invoices having been paid. The specific case of gTLDs is regulated by ICANN : these domain names are suspended (On Hold) five days after their expiration (grace period offered by Mailclub). These domain names can consequently be reactivated. This reactivation is subject to the payment of a penalty in addition of subscription fees. These domains are suspended, then deleted thirty days after, and finally returned to the public domain.
10.1 Mailclub’s Liability: We shall endeavour to guarantee the availability, continuity and quality of our services. We are bound by a best endeavours obligation rather than a performance obligation in this respect. As a consequence, We cannot be held liable for any loss which occurs as a result of the following: Failure of the domain name registration, Use of the domain name, Delays in the registration system or temporary inaccessibility of the system, Previous registration of the desired name, Non-payment by You or your agent of the charges set out above, The domain having been issued to a third party by another body. In all cases, Mailclub’s liability for its services is limited to the amount paid by the Client for the services in question.
10.1.1 Availability: The availability of a domain name on our search tool does not in any way constitute a guarantee that You will be able to register the domain.
10.1.2 Refusal: Mailclub can in no case be held liable for any refusal to register a domain name by the relevant administration body or by our service provider/subcontractor for the region in question, even if the domain appears to be available. If the Client has paid to register the domain name but Mailclub cannot complete the registration, Mailclub is required to refund any sums paid by the Client for the registration of the domain name. The Client is not entitled to claim any compensation in this case.
10.1.3 Registration rules: Mailclub cannot be held liable for any consequences arising from changes to the rules issued by registration bodies, including during subscription renewals. Any Client wishing to register or transfer a domain name confirms that it has consulted and that it fully accepts the Specific Clauses for the relevant domain extensions. Information on these extensions and links to their Specific Clauses can be found at http://www.Mailclub.fr/cgv. In addition to the Specific Clauses, the Client is automatically bound by each registry’s naming charter.
10.1.4 Subcontractors: Mailclub shall endeavour to ensure the quality of its subcontracted services, but cannot protect the Client against the consequences of a service interruption which is beyond its control. Mailclub may use external service providers for the registration and management of certain domain names. The Client accepts this and acknowledges that Mailclub is entitled to use any service provider of its choice, and to change provider at any time.
10.2 Guarantees: You agree to compensate MAILCLUB S.A.S. together with its managers and employees for any domain name registration, loss, damage or expenses, including lawyers’ fees resulting from a complaint, lawsuit or claim linked to Your domain name or the use of Your domain name. You pledge and guarantee that all of the information You have provided in respect of your domain registration is full and accurate. We cannot provide any guarantees that the domain name registration in itself will prevent any challenges relating to that domain name. Our services comply with current French law. We cannot be held liable for any non-compliance with the laws of your country. You acknowledge that You have received the conditions, guidelines and required information. You also acknowledge that You are solely responsible for ensuring that our services are suited to your requirements. You are responsible for taking out any required insurance policies. In the event that a third party should send Mailclub a claim relating to a domain name held by a Mailclub Client, Mailclub shall send a copy of this claim to the Client as soon as possible. The third party shall be advised of Mailclub’s actions vis-à-vis its Client, it being understood that Mailclub’s role is not to make assumptions on its Clients’ rights or those of third parties in relation to any wording used in the domain name, nor shall Mailclub take it upon itself to transfer the domain. The Client is solely responsible for settling any cases of litigation or pre-litigation in the event of a dispute. Mailclub shall in no case become involved with the settlement of any disputes. Mailclub shall in no case be held liable for the consequences of out-of-court or litigation claims made against the Client following the registration of one or several domain names. The Client is solely responsible for its actions online through any website which is accessible via a domain name registered through Mailclub. The Client undertakes to protect Mailclub against any orders which might be made against it by any court, due to its registration, holding, management and more generally any action linked to one or several domain names belonging to it with which Mailclub has some involvement. The Client agrees to take responsibility for all legal and lawyers’ fees incurred by Mailclub for defending its interests, even if an out-of-court settlement is agreed upon by the third party and the Client or by the third party and Mailclub.
10.3 Force majeure:
Neither party shall be liable for any failure to perform or delay in performing any obligation hereunder due to the occurrence of a force majeure event which is widely recognised under case law and by the French courts. A force majeure event shall entail the suspension of the obligations hereunder for as long as the event continues. 10.4 Termination of the contract: In the event that one of the Parties breaches any of its obligations hereunder, and such breach is not rectified within 15 days of a registered letter with a delivery receipt having been sent regarding the breach in question, the other party may automatically terminate this contract, subject to any damages which it is entitled to claim as a consequence of the breach. If the contract is terminated due to the registration of a domain name which is against public policy or public decency, We reserve the right to take legal action against You to ensure that You are held liable for such actions. If You terminate the contract for one of the reasons listed in the two previous paragraphs, You shall not be entitled to any refund of any sums paid in advance for the period following the termination date, nor shall You be able to claim any other compensation. Mailclub reserves the right to refuse any transfer request for one or several domain names if the Client still owes fees for the registration of such domain(s), or any other fees.
ARTICLE 11 - RIGHT OF WITHDRAWAL
In the light of the intangible nature of the services in that they are delivered by internet or download, and can be used within the first seven days, the parties agree that no right of withdrawal shall be applied.
If any of the conditions hereof should become invalid as a result of any effective law or any foreign law which may need to be applied due to the location in which our services are used, the aforementioned clause shall be deemed to be non-existent, but shall not invalidate the remaining terms of use for our services which shall continue to be fully binding. Mailclub reserves the right to assign, transfer or confer in any form whatsoever any rights or obligations arising from its contract with its Clients to a third party.
Mailclub is entitled to amend the clauses of the General Conditions at any time, and may do so at the request of a regulatory authority (e.g. ICANN, country code registry such as Afnic, etc.). Any new version of the General Conditions shall take effect as soon as it is published on the Mailclub website. If the amendment has been made following a request by a regulatory authority, it shall be applicable to any effective Contract 8 (eight) days after it has been published on the Mailclub website. You undertake to regularly consult the Mailclub website, which shows the effective date of the latest version of the General Conditions. If this date is subsequent to the date on which the domain name is registered, You undertake to read the new version. If You do not accept the amendments, You must terminate the Contract between You and Mailclub as set out by Article 10: ’TERMS GOVERNING THE PERFORMANCE AND TERMINATION OF THE CONTRACT’. In the absence of such termination, Mailclub shall deem that the amendments have been accepted.
You acknowledge and accept that our services together with any software associated with our services may contain information which is confidential or protected by the effective intellectual property laws or by any other law. You also acknowledge Your awareness that the content of sponsored advertisements or information which You receive via the service or advertisers is protected by copyright, brand rights, patent rights or any other right recognised by the effective legislation. You undertake to refrain from amending, leasing, loaning, selling, distributing or creating derivative works based on all or part of our services or the available software, unless We have given specific authorisation for the above. All brands, logos and service marks appearing on our website are our property. You are prohibited from using any of these brands without our prior written authorisation.
You grant us an exclusive license for the web use of each domain name that You order. This usage right enables us to manage the domain name on your behalf. Therefore, unless otherwise specified by the Client, We shall be registered as both the technical and the invoicing contact when your domain is registered. This does not confer upon us any ownership rights whatsoever to the domain name.
The parties shall ensure that the terms of this contract and all information obtained in the application hereof remains confidential. They agree both on their own behalf and on behalf of their staff and subcontractors to comply with the professional secrecy of this contract and of any other document provided. You are advised that some of the personal data provided is sent to the relevant authorities and can be consulted on a Whois lookup. The Whois is a document which can be accessed on the internet through various authorities involved in the registration of domain names: the document serves as proof that the domain name is registered, and provides various information pertaining to the owner.
We are committed to ensuring that our website is secure. Card payments are secured using SSL (Secure Socket Layer), which guarantees the safety of all of your card information using encryption technology.
We are committed to protecting your personal data. All of personal data that We receive is kept strictly confidential in accordance with our personal data protection policy. When you place an order, We only ask You to provide the information which is essential to ensuring the quality of our services. We shall not sell, market or lease this information to any third party. Pursuant to Article 27 of the French Information Technology and Civil Liberties Act (Loi Informatique et Libertés) of 6 January 1978, You have a right to access and amend any data pertaining to You, which You can do by simply sending an e-mail to the following address: ct@Mailclub.fr, or by writing to Us at Mailclub S.A.S., 37 rue Guibal 13356, Marseilles, France. By accepting these General Conditions, You acknowledge Your awareness of our personal data protection policy and You agree to Us collecting and using this data.
Both our service terms of use and the terms relating to the online purchase of our services are governed by French law, regardless of where the services are used or purchased. In the event of any dispute relating to the interpretation or performance of these terms and conditions, and where all attempts to find an amicable resolution have failed, express jurisdiction is granted to the French courts and in particular the Marseilles Commercial Court (Tribunal de Commerce).
